About Madmetrix

Madmetrix provides digital marketing, website development and design services online through madmetrix.com. In these terms, “we”, “us” and “our” refer to the business providing services under the Madmetrix brand. For questions about these terms, email contact@madmetrix.com.

Using This Website

These terms explain the conditions for using our website and the general basis on which we discuss services. Please use the website lawfully. You must not interfere with its operation, bypass access controls, introduce harmful code, impersonate another person or harvest personal information without authority.
Our website text, design and other materials are protected by applicable intellectual property rights. You may view them and use information to evaluate our services. Reproduction or commercial reuse requires the rights holder’s permission, except where the law permits otherwise. Third-party marks belong to their respective owners.

Enquiries, Proposals and Service Agreements

Submitting an enquiry, receiving an estimate or discussing a project does not itself create a service agreement. Work begins through acceptance of a written proposal, statement of work or other agreement using the process agreed with you.
That agreement defines deliverables, fees, milestones, responsibilities and acceptance arrangements. It takes priority over conflicting general service descriptions on this website. Changes to these website terms do not retrospectively change an existing client agreement.

Scope, Revisions and Client Approvals

The agreed scope should identify the services, platforms, content, design assets, revision arrangements, reporting and support included. Additional pages, functionality, campaigns or changes to an approved direction may require a written update to the fees and schedule before work continues.
Clients provide accurate information, authorised access, necessary materials and timely feedback. You must have permission to supply the materials and personal information you ask us to use, and evidence for factual advertising claims. Madmetrix may decline unlawful, misleading or infringing instructions. Client approval does not remove either party’s responsibilities under applicable law.
If required inputs, permissions or approvals are delayed, we will discuss the effect on delivery. Approval does not waive your remedies for work that fails to meet the agreed requirements.

Fees, Advertising Budgets and External Costs

Prices, taxes, currency, payment dates and any renewal or overdue-payment arrangements are set out in the accepted agreement. A service fee does not automatically include advertising spend, domains, hosting, software, themes, plugins, stock assets or other third-party charges.
We agree the relevant budgets and purchasing authority before incurring external costs on your behalf. Third-party subscriptions and renewals remain subject to their provider’s terms. Any change in costs or scope requiring your approval will be brought to you before the additional commitment is made.

Marketing Outcomes and Performance Expectations

Madmetrix will carry out the agreed services with reasonable care and skill. Search rankings, website traffic, AI-answer inclusion or citations, advertising approval, lead volume, sales, return on advertising spend and email delivery cannot be guaranteed.
Results depend on factors including competition, budgets, your offer, customer response, tracking quality and decisions by search, advertising, email and social platforms. Forecasts are estimates, and previous examples do not promise the same outcome. These qualifications do not excuse failure to carry out the contracted work.

Website Delivery, Maintenance and Third-Party Services

Website functionality, testing, launch checks and handover requirements are established in the project agreement. Ongoing maintenance, backups, recovery, hosting management and post-launch support are included to the extent stated there, alongside any obligations that cannot be excluded by law.
Third-party hosting, payment systems, integrations and software may affect availability or functionality. Websites need ongoing attention as technology changes. We do not promise uninterrupted operation, permanent security or a particular performance-tool score. Material issues within our agreed responsibilities remain subject to the applicable agreement and legal remedies.

Ownership, Editable Files and Licensed Materials

Your supplied materials remain yours or their existing rights holder’s. The project agreement specifies rights in final deliverables, editable design files, source code, reusable agency materials and account access. Where an agreed transfer depends on payment, the agreement will state that condition. Ownership of every underlying tool or component is not automatically transferred with a finished deliverable.
Fonts, photography, stock assets, themes, plugins, open-source components and other third-party materials remain subject to their own licences. Account and domain ownership, subscription responsibility and access handover should be agreed explicitly. We will seek permission before using your name, logo or work in a portfolio, testimonial or case study.
Logo design, naming and branding do not include trademark searches, registration or legal clearance unless expressly included in the agreement. Obtain appropriate checks before adopting a name or mark.

Confidential Information, Personal Data and AI Assistance

Confidential business information and access credentials must be shared through appropriate agreed channels, with access limited to people who need it for the work. Please do not send passwords, payment-card details or customer databases through the public enquiry form.
If a project involves personal data processed on your behalf, the parties should agree the processing roles, permitted instructions, security arrangements, suppliers and return or deletion requirements in an appropriate data-processing agreement before that processing begins. Our Privacy Policy explains the information we handle for our own website and business communications.
AI-assisted work, where included, is subject to human review and relevant tool and licence conditions. Confidential or personal information must not be submitted to an AI provider without appropriate authorisation and safeguards. We do not assume that generated material is exclusive or that every AI-assisted output qualifies for copyright protection in every country.

Pauses, Cancellation and Refunds

Cancellation, notice periods, project pauses, retainer termination and refunds follow the accepted agreement and applicable law. Any amount payable should reflect that agreement, work properly completed and authorised commitments. We do not impose a blanket “no refunds” rule through these website terms.
Where a remediable issue arises, the parties should communicate promptly and allow a reasonable opportunity to resolve it where appropriate. Suspension, handover and access arrangements must respect the agreement and any rights that cannot lawfully be excluded.

Website Information and Legal Rights

Our articles and website resources provide general information. Recommendations for an individual business require its circumstances to be assessed. External websites and platforms operate under their own terms and privacy notices, which you should review when using them.
Nothing in these terms excludes liability or remedies that cannot lawfully be excluded, including applicable consumer rights. Any additional liability allocation, cap or indemnity must be addressed in the service agreement and remains subject to applicable law. We do not use these website terms to waive all responsibility for our work.

Questions, Disputes and Updates

Please send concerns to contact@madmetrix.com with enough detail for us to understand the issue. We will seek to resolve concerns through discussion. The applicable law and any agreed jurisdiction for a client engagement will be stated in its written agreement, subject to mandatory rights and legally available complaint forums.
We may update these website terms prospectively and will show the date of the latest update. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. Privacy and cookie choices are addressed separately in our Privacy Policy and Cookie Policy.
